Welcome to Gone Technologies Inc., doing business as Gone ("Gone," "we," "us," or "our"). These Terms of Service (the "Terms") govern your access to and use of Gone's websites, including gone.com and any localized websites (such as seattle.gone.com), mobile applications, online marketplace, household pickup services, retail locations, communications, software, content, and all other products, features, technologies, and services that Gone makes available now or in the future (collectively, the "Services").

Please read these Terms carefully. By accessing, browsing, requesting a pickup, purchasing Goods, creating an account, or otherwise accessing or using any portion of the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you may not access or use the Services.

Gone operates a technology platform that connects users with services designed to extend the useful life of household goods through reuse and local commerce. Depending on your location, the Services may include one or more of the following:

(a) Household Pickup Service

Users may request pickup of eligible reusable household goods through the Platform or by other methods made available by Gone, including telephone or text message. Gone may require photographs or additional information regarding the requested items.

All pickup requests are subject to Gone's review and acceptance in its sole discretion. Gone reserves the right to accept or reject any pickup request, decline individual items at pickup, or cancel a scheduled pickup based on item condition, accessibility, safety, service availability, or any other lawful reason. Please review our policies for approved household items.

Upon Gone's physical acceptance and collection of approved items, ownership of those items transfers irrevocably to Gone. Gone may inspect, repair, refurbish, recycle, donate, resell, dispose of, or otherwise use the items in its sole discretion. Users receive no monetary compensation for transferred items. The consideration provided by Gone is the complimentary removal service and the convenience of responsible disposition.

(b) Gone Marketplace

Gone operates an online marketplace where users may browse inventory owned or offered by Gone, reserve available items, and purchase eligible products for pickup at designated Gone retail locations or other pickup locations specified by Gone.

Inventory is limited, frequently changes, and is offered on an "as available" basis. Placing an item in a shopping cart does not reserve the item. An order is accepted only after confirmation by Gone. Unless expressly stated otherwise, marketplace purchases are for pickup only.

(c) Local Discovery Platform

Gone also provides localized browsing experiences that allow users to explore available inventory, stores, featured collections, neighborhoods, and other location-based content through regional websites or applications, such as seattle.gone.com. These localized experiences are intended to help users discover available products, pickup opportunities, promotions, events, and other offerings available in their geographic area. Availability, inventory, pricing, participating locations, and featured content may vary by region and are subject to change without notice.

1. Agreement to Terms


By accessing or using any portion of our Services, you agree to comply with and be bound by these Terms. These Terms apply to you regardless of whether you are a "User" (meaning, you have created an account with us) or are a "Visitor" (meaning, you are using or viewing the Service but have not created an account). The term "You," "Your," or "User" refers to both Users and Visitors.

The Services are intended primarily for personal, non-commercial use unless Gone expressly authorizes commercial use. You agree that you are using the Service for personal use only and not are not using the Service for or on behalf of any third-party, or for any commercial purpose.

2. User Content and Goods


For purposes of these Terms:

  • "Content" means any text, photographs, graphics, images, audio, video, reviews, comments, communications, descriptions, listings, requests, messages, or other information or materials that you upload, submit, email, text, post, generate, transmit, or otherwise make available to Gone through the Services.
  • "Goods" means any household goods, furniture, décor, electronics, appliances, clothing, or other tangible personal property that you request Gone to collect through the Household Pickup Service or otherwise provide to Gone in connection with the Services.

You are solely responsible for all Content and Goods that you submit or make available through the Services, including their legality, accuracy, completeness, condition, and appropriateness. Gone assumes no responsibility for any Goods until Gone has physically accepted and loaded the approved Goods onto its vehicle or otherwise expressly accepted possession.

You represent and warrant that:
  1. You own the Content and Goods, or otherwise possess all rights, permissions, licenses, and authority necessary to submit the Content and transfer the Goods to Gone.
  2. Your submission of Content and transfer of Goods do not infringe or violate any intellectual property rights, privacy rights, publicity rights, contractual rights, or other rights of any third party.
  3. You have full legal authority to authorize Gone to enter the designated pickup location and remove the Goods.
  4. You are the lawful owner of the Goods and hold good and marketable title to the Goods, free and clear of all liens, security interests, encumbrances, pledges, claims, restrictions on transfer, or other third-party interests.
  5. Upon Gone's acceptance of the Goods, Gone will receive good and marketable title to the Goods free and clear of all liens, claims, and encumbrances.
  6. The Goods materially conform to the descriptions, photographs, and information you provide through the Services.
  7. The Goods are not stolen, counterfeit, subject to any pending legal dispute, or otherwise unlawfully possessed.
  8. The Goods do not contain hazardous materials, biohazards, explosives, firearms, ammunition, illegal substances, regulated waste, or any other prohibited items identified by Gone.
  9. You have removed all personal property, confidential documents, financial information, medications, and other personal belongings from the Goods prior to pickup.
  10. Any electronic devices included with the Goods have been reset to factory settings, all personal data has been permanently removed, and any passwords, activation locks, or similar security features have been disabled.
  11. The Goods are reasonably safe to transport and will not expose Gone or its personnel to unreasonable risk of injury or property damage.
  12. As consideration for Gone's complimentary pickup and removal service, you irrevocably transfer all right, title, and interest in the accepted Goods to Gone immediately upon Gone's physical acceptance and loading of the Goods.
Property Access Authorization.

By requesting a Household Pickup Service, you authorize Gone, its employees, contractors, and agents to enter those portions of your property reasonably necessary to inspect, access, remove, load, and transport the Goods identified in your pickup request. You represent that you have the legal authority to grant such access and will provide a reasonably safe and accessible pickup environment.

Rejection of Goods

Gone reserves the right, in its sole discretion, to refuse to collect any Goods that do not comply with these Terms, differ materially from the information provided by you, present safety concerns, or otherwise fail to satisfy Gone's acceptance criteria.

If Gone reasonably determines after pickup that any representation or warranty in this Section was inaccurate or breached, Gone may, in addition to any other remedies available at law or under these Terms, return the Goods to you at your expense, recover any resulting damages, or dispose of the Goods as reasonably necessary to protect Gone, its employees, customers, or third parties.

Ownership of Content

Except for the rights expressly granted in these Terms, you retain ownership of your Content.

By submitting Content through the Services, you grant Gone and its affiliates, service providers, successors, and assigns a worldwide, perpetual, irrevocable, non-exclusive, transferable, sublicensable, royalty-free license to host, store, reproduce, modify, adapt, publish, translate, distribute, publicly display, publicly perform, create derivative works from, and otherwise use your Content for the purpose of operating, improving, marketing, promoting, and providing the Services and Gone's business.

You represent that you have all rights necessary to grant the foregoing license.

Ownership of Goods

Upon Gone's physical acceptance and loading of the Goods, ownership of the accepted Goods immediately transfers to Gone. After ownership transfers, Gone may inspect, clean, repair, refurbish, recycle, donate, trade, consign, resell, auction, dismantle, dispose of, or otherwise use the Goods in its sole discretion. You acknowledge that you have no continuing ownership interest in, or right to compensation arising from, any subsequent use or disposition of the Goods unless Gone expressly agrees otherwise in writing.

No Bailment or Consignment

Unless Gone expressly agrees otherwise in writing, the submission or pickup of Goods does not create a bailment, consignment, agency, brokerage, fiduciary, or similar relationship between you and Gone. Upon Gone's acceptance of the Goods pursuant to these Terms, Gone becomes the owner of the Goods and has no obligation to store, preserve, return, account for, or compensate you for the Goods or any proceeds from their subsequent disposition except as expressly provided in these Terms.

3. Marketplace Purchases


Gone operates an online marketplace through which Users may browse, reserve, and purchase Goods owned or offered by Gone for pickup at designated Gone retail locations or other locations specified by Gone (the "Marketplace"). Unless expressly stated otherwise, all merchandise sold through the Marketplace consists of previously owned goods and is sold "AS IS," "WHERE IS," and "WITH ALL FAULTS." Gone does not warrant merchantability, fitness for a particular purpose, cosmetic condition, completeness, compatibility, or functionality.

Availability. Marketplace inventory changes frequently and is subject to prior sale, damage, removal, or other disposition. All Goods are offered subject to availability, and Gone does not guarantee that any item displayed on the Marketplace will remain available for purchase.

First-Come, First-Served. Unless expressly stated otherwise, Marketplace items are offered on a first-come, first-served basis. Adding an item to a shopping cart, wish list, favorites list, or similar feature does not reserve the item or prevent another customer from purchasing it.

Order Acceptance. Your submission of an order constitutes an offer to purchase the selected Goods. No order is accepted until Gone confirms the order through the Marketplace or by email, text message, or other written communication. Gone reserves the right to refuse, cancel, or limit any order, in whole or in part, for any lawful reason, including inventory discrepancies, pricing errors, suspected fraud, payment issues, or product unavailability.

All Orders Final Sale. Unless expressly stated otherwise at the time of purchase or required by applicable law, all Marketplace sales are final. Gone is under no obligation to accept returns or exchanges for Goods purchased through the Marketplace because of buyer's remorse, change of mind, incorrect measurements, compatibility issues, aesthetic preferences, or other subjective reasons.

Notwithstanding the foregoing, Gone may, in its sole discretion, approve a return, exchange, store credit, or refund where:

  • the wrong item was provided;
  • the item materially differs from its Marketplace description;
  • the item was materially damaged prior to pickup and such damage was not disclosed in the Marketplace listing; or
  • another circumstance exists in which Gone determines, in its sole discretion, that a return or refund is appropriate.

If Gone approves a refund, Gone may, in its sole discretion and to the extent permitted by applicable law:

  • refund the original purchase price to the original payment method;
  • issue store credit;
  • provide an exchange for comparable Goods; or
  • provide another commercially reasonable remedy.

Shipping charges, convenience fees, processing fees, or other non-refundable charges, if any, may not be refunded unless required by applicable law or expressly stated otherwise.

Nothing in these Terms limits any rights that cannot be waived under applicable consumer protection laws.

Pricing. Prices displayed on the Marketplace are subject to change at any time prior to order confirmation without notice. Although Gone strives to maintain accurate pricing and product information, errors may occur. Gone reserves the right to correct any pricing, product description, or inventory errors and to cancel any affected order prior to delivery of the Goods.

Taxes. Applicable sales, use, value-added, goods and services, or other taxes required by law will be calculated and collected at checkout unless otherwise stated. Users are responsible for all applicable taxes associated with their purchases.

Payment Authorization. By submitting an order, you authorize Gone and its third-party payment processors to charge your selected payment method for the full purchase price, applicable taxes, fees, and any other authorized charges associated with your order. If your payment cannot be successfully processed, Gone may decline or cancel your order without liability.

Store Pickup. Unless Gone expressly offers shipping or delivery for a particular transaction, all Marketplace purchases must be picked up from the location identified in your order confirmation. You are responsible for arriving during the designated pickup window or operating hours and for providing any information reasonably requested to verify your identity or order.

Pickup Deadline. Unless otherwise specified in your order confirmation, purchased Goods must be collected within the pickup period designated by Gone. If Goods are not collected within the applicable pickup period, Gone may, in its sole discretion and without further notice, cancel the order, restock the Goods, retain any applicable restocking fee, issue a refund consistent with Gone's refund policy, or otherwise dispose of the Goods.

Order Cancellations.

A User may request cancellation of an order before it has been confirmed by Gone. Once Gone has accepted and confirmed an order, cancellation requests are subject to Gone's cancellation policy and may be denied if the Goods have been reserved, prepared for pickup, or otherwise committed to fulfillment.

Gone reserves the right to cancel any order, in whole or in part, at any time before pickup for any lawful reason, including without limitation:

  • inventory shortages;
  • pricing or listing errors;
  • payment authorization failures;
  • suspected fraud or unauthorized transactions;
  • safety concerns;
  • violation of these Terms; or
  • circumstances beyond Gone's reasonable control.

If Gone cancels an order after payment has been successfully processed, Gone's sole obligation will be to refund the amount actually paid for the cancelled Goods, unless otherwise required by applicable law.

No Shipping Obligation. Gone has no obligation to ship, transport, hold, or relocate purchased Goods unless expressly agreed in writing or offered through the Marketplace for the applicable transaction.

Condition of Goods. Unless expressly stated otherwise, Goods offered through the Marketplace are previously owned, unique, refurbished, donated, recycled, or otherwise pre-owned items. Goods are sold in their existing condition and may exhibit ordinary wear, cosmetic imperfections, repairs, missing components, or other characteristics typical of used merchandise.

No Appraisal or Representation of Value. Marketplace listings, pricing, descriptions, photographs, categories, and other information are provided solely for the convenience of Users and do not constitute an appraisal, valuation, certification, or representation regarding the market value, authenticity, rarity, collectability, merchantability, or future resale value of any Goods.

Listing Information. Gone makes reasonable efforts to accurately describe Marketplace Goods; however, photographs, measurements, colors, dimensions, descriptions, and other listing information are approximate and may differ from the actual Goods. Users are encouraged to inspect Goods at pickup before taking possession.

Title and Risk of Loss. Title to Marketplace Goods transfers to the purchaser upon Gone's delivery of the Goods to the purchaser or the purchaser's authorized representative at the designated pickup location. Risk of loss likewise transfers upon pickup.

Reservation of Rights. Gone reserves the right to modify Marketplace offerings, pricing, inventory, purchasing limits, pickup procedures, and Marketplace policies at any time without prior notice.

4. Local Discovery Platform


Gone may provide localized websites, applications, or online experiences (each, a "Local Discovery Platform"), including regional websites such as Seattle.Gone.com, to help Users discover available Goods, retail locations, promotions, events, pickup opportunities, and other location-specific information.

Informational Purposes

The Local Discovery Platform is provided for informational and convenience purposes only. Information displayed on a Local Discovery Platform does not constitute an offer to sell any particular item, a guarantee of availability, or a reservation of any Goods.

Inventory Availability

Marketplace inventory changes frequently. Goods displayed on a Local Discovery Platform may become unavailable, be removed from inventory, be sold, donated, reserved, or otherwise disposed of at any time without notice. Gone does not guarantee that any item displayed online will remain available when you visit a retail location or attempt to purchase it.

Images and Descriptions

Photographs, videos, measurements, descriptions, categories, and other information displayed on a Local Discovery Platform are provided for illustrative purposes only. Because many Goods are previously owned, unique, refurbished, donated, or one-of-a-kind, actual condition, color, dimensions, completeness, accessories, appearance, and functionality may vary from the information displayed online.

Location-Specific Inventory

Inventory displayed through one Local Discovery Platform may not be available at another Gone retail location or in another geographic region. Each Gone location maintains its own inventory, and availability may differ among locations.

Location-Specific Pricing

Prices, promotions, discounts, taxes, inventory, services, and availability may vary by location and are subject to change without prior notice. Pricing displayed for one Gone location does not guarantee the same pricing at another location unless expressly stated by Gone.

No Reservation

Viewing an item on a Local Discovery Platform, adding an item to a shopping cart, favorites list, or wish list, or otherwise interacting with Marketplace content does not reserve the item or prevent another customer from purchasing it. Unless expressly stated otherwise by Gone, all Goods are offered on a first-come, first-served basis.

Errors and Omissions

Gone does not warrant that information displayed on any Local Discovery Platform is complete, accurate, or current. Gone reserves the right to correct any errors or omissions relating to descriptions, photographs, inventory status, pricing, promotions, or availability at any time without prior notice, including after an order has been submitted.

Reservation of Rights

Gone may modify, suspend, discontinue, or update any Local Discovery Platform, its content, participating locations, available features, inventory displays, or geographic coverage at any time without liability.

5. Electronic Communications and Text Messaging


By accessing or using the Services, you consent to receive electronic communications from Gone, including by email, text message (SMS or MMS), in-app notifications, push notifications, telephone calls, and other electronic means, regarding your use of the Services, your account, pickup requests, Marketplace purchases, and other transactions.

Electronic communications may include, without limitation:

  • pickup scheduling confirmations;
  • calendar invitations;
  • pickup reminders;
  • order confirmations;
  • payment confirmations and receipts;
  • order status updates;
  • cancellation notices;
  • customer service communications;
  • security notifications;
  • account verification messages;
  • updates to the Services or these Terms; and
  • other transactional or administrative communications relating to your use of the Services.

You agree that all agreements, notices, disclosures, authorizations, receipts, records, and other communications that Gone provides electronically satisfy any legal requirement that such communications be in writing.

Text Message Consent

By voluntarily providing your mobile telephone number to Gone or otherwise opting to receive text messages, you expressly consent to receive text messages from Gone and its service providers at the mobile number you provide. Such messages may include transactional, operational, and informational communications relating to your pickup requests, Marketplace purchases, appointments, calendar invitations, order status, customer support, and other Services you request.

Message frequency will vary depending on your interactions with the Services.

Message and data rates may apply according to your wireless carrier's plan.

Your consent to receive transactional text messages is not a condition of purchasing any Goods or using the Services.

Marketing Communications

If you separately opt in to receive promotional or marketing communications, you consent to receive recurring automated marketing text messages and emails regarding promotions, events, new inventory, special offers, and other marketing content from Gone. Consent to receive marketing communications is voluntary and is not required to use the Services or make a purchase.

You may withdraw your consent to receive marketing text messages at any time by replying STOP to any marketing text message or by following the unsubscribe instructions included in the communication. You acknowledge that opting out of marketing messages will not prevent Gone from sending you transactional or service-related communications that are necessary to provide the Services or complete your transactions.

Telephone Consumer Protection Act

To the fullest extent permitted by applicable law, including the Telephone Consumer Protection Act ("TCPA"), you expressly authorize Gone and its agents, contractors, and service providers to contact you using automated telephone dialing systems, prerecorded or artificial voice messages, SMS messages, MMS messages, and other automated technologies at any telephone number you provide in connection with the Services for transactional, operational, account-related, and, where separately authorized by you, marketing purposes.

You represent that you are the authorized subscriber or customary user of any telephone number you provide and agree to promptly update your account if your telephone number changes.

Accurate Contact Information

You are responsible for maintaining accurate and current contact information. Gone is not responsible for any delay or failure to receive communications resulting from inaccurate or outdated contact information, carrier filtering, spam filtering, technical issues, or circumstances beyond Gone's reasonable control.

Third-Party Communication Providers

Gone may use third-party providers to facilitate electronic communications, including text messaging, email delivery, calendar invitations, scheduling, customer support, and payment notifications. Your use of the Services constitutes your consent to Gone's use of such providers in connection with providing the Services.

6. User Conduct


In connection with your use of the Services, you agree that you will not, and will not permit any third party to:

  1. Use the Services in any manner that violates these Terms or any applicable federal, state, local, or international law or regulation.
  2. Submit false, misleading, inaccurate, or fraudulent information, including inaccurate descriptions, photographs, ownership information, pickup requests, payment information, or Marketplace orders.
  3. Upload, transmit, or otherwise make available any Content that:
    • infringes or misappropriates the intellectual property, privacy, publicity, or other rights of any person;
    • is unlawful, fraudulent, defamatory, libelous, obscene, sexually explicit, excessively violent, threatening, abusive, hateful, discriminatory, or otherwise objectionable;
    • promotes illegal activity or encourages conduct that could give rise to civil or criminal liability; or
    • contains malicious code, viruses, malware, ransomware, or other harmful technology.
  4. Use abusive, harassing, threatening, intimidating, discriminatory, or offensive language or behavior toward Gone personnel, contractors, customers, or other users, including conduct based on race, color, religion, sex, gender identity, sexual orientation, national origin, disability, age, or other protected status.
  5. Impersonate any person or entity, falsely claim an affiliation with Gone, or misrepresent your identity or authority.
  6. Submit Goods that you do not own or have authority to transfer, or that are stolen, counterfeit, subject to legal dispute, or otherwise unlawfully possessed.
  7. Submit Goods that contain hazardous materials, firearms, ammunition, explosives, biohazards, illegal drugs, regulated waste, or any other prohibited items identified by Gone.
  8. Fail to remove personal belongings, confidential records, financial information, or personal data from Goods before pickup.
  9. Interfere with, delay, obstruct, threaten, or create unsafe working conditions for Gone personnel during a pickup, store visit, or other interaction.
  10. Access or attempt to access non-public portions of the Services, Gone's systems, or the accounts of other users without authorization.
  11. Use robots, spiders, crawlers, scrapers, data mining tools, artificial intelligence tools, automated scripts, or similar technologies to access, monitor, copy, collect, harvest, or index any portion of the Services or Marketplace without Gone's prior written consent.
  12. Copy, reproduce, distribute, modify, reverse engineer, decompile, disassemble, create derivative works from, or otherwise exploit the Services or any Marketplace content except as expressly permitted by these Terms.
  13. Circumvent or interfere with any security feature, access control, rate limitation, inventory management system, payment process, or other technical measure used by Gone.
  14. Upload or post unsolicited advertising, promotional materials, spam, chain letters, surveys, contests, pyramid schemes, or other unauthorized commercial communications.
  15. Collect, harvest, or use another person's personal information without that person's consent.
  16. Use the Services for any commercial purpose or on behalf of another person or business except as expressly authorized by Gone.
  17. Attempt to manipulate Marketplace pricing, inventory availability, reviews, ratings, reservations, or transactions.
  18. Engage in any activity that disrupts, damages, overburdens, or impairs the operation, integrity, security, or availability of the Services.

This list is illustrative and not exhaustive. Gone reserves the right to determine, in its sole discretion, whether conduct violates these Terms or otherwise threatens the safety, integrity, reputation, or operation of the Services.

Gone has no obligation to monitor user activity or Content but reserves the right to investigate, monitor, remove Content, suspend or terminate access to the Services, cancel Marketplace transactions, reject pickup requests, or take any other action it reasonably determines is necessary to protect Gone, its users, its personnel, or third parties, or to comply with applicable law, legal process, or governmental requests.

If you submit Content through the Services, you may delete certain Content by using available account or Service features. However, some Content, including communications, transaction records, pickup requests, Marketplace records, photographs used to process requests, backup copies, and Content retained for legal, operational, security, or compliance purposes, may remain in Gone's systems after deletion. Gone is not responsible for retaining or deleting Content except as required by applicable law or its Privacy Policy.

7. Gone’s Content

Subject to your compliance with these Terms, Gone grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Services and to view Our Content solely for your personal, non-commercial use and only as necessary to use the Services in accordance with these Terms.

For purposes of these Terms, "Our Content" includes all content, materials, technology, and information made available through the Services, including, without limitation:

  • text, graphics, logos, icons, trademarks, service marks, trade dress, and branding;
  • photographs, videos, illustrations, product images, and Marketplace listings;
  • software, source code, object code, interfaces, algorithms, artificial intelligence features, recommendation engines, databases, and search functionality;
  • website and application design, layout, look and feel, screen displays, organization, arrangement, and user interface elements;
  • pricing information, inventory information, product descriptions, collections, catalogs, and merchandising content;
  • audio, music, animations, audiovisual works, documentation, and other works of authorship;
  • data, compilations, reports, analytics, and other information generated or made available by Gone or its licensors; and
  • all updates, enhancements, modifications, and derivative works of any of the foregoing.

Except for the limited license expressly granted herein, no right, title, or interest in or to the Services or Our Content is transferred or licensed to you. All rights not expressly granted are reserved by Gone and its licensors.

Restrictions

Except as expressly authorized in writing by Gone, you shall not, and shall not permit any third party to:

  1. copy, reproduce, download, publish, distribute, transmit, display, perform, modify, adapt, translate, create derivative works from, sell, license, or otherwise exploit any portion of the Services or Our Content;
  2. reverse engineer, decompile, disassemble, decode, attempt to derive source code from, or otherwise seek to discover the underlying technology of the Services;
  3. use any robot, spider, crawler, scraper, artificial intelligence system, automated script, or other automated means to access, monitor, extract, harvest, copy, or index any portion of the Services or Our Content;
  4. use any Marketplace listings, product descriptions, pricing information, photographs, inventory data, or other content for commercial purposes or to develop, train, improve, benchmark, or validate any artificial intelligence, machine learning, computer vision, large language model, or similar technology;
  5. remove, obscure, alter, or bypass any copyright, trademark, proprietary notice, digital watermark, access restriction, or technological protection measure contained in the Services or Our Content;
  6. interfere with the operation, security, integrity, or availability of the Services or any related systems or networks;
  7. access or use the Services to develop, market, or support a competing product or service; or
  8. use the Services or Our Content for any unlawful purpose or in any manner inconsistent with these Terms.

Nothing in these Terms shall be construed as granting you any ownership interest in the Services or Our Content or any intellectual property rights of Gone or its licensors.

 

8. Intellectual Property

As between you and Gone, Gone and its licensors exclusively own all right, title, and interest in and to the Services and Our Content, including all associated intellectual property rights. Nothing in these Terms transfers to you any ownership interest in the Services or Our Content other than the limited license expressly granted under these Terms.

Without limiting the foregoing, Gone's intellectual property includes, without limitation:

  • the Gone name, logos, trademarks, service marks, trade dress, branding, and domain names;
  • the Services, including all software, source code, object code, interfaces, databases, algorithms, recommendation engines, artificial intelligence features, and other technology;
  • all Marketplace listings, inventory data, pricing information, product descriptions, merchandising content, catalogs, and collections;
  • all photographs, videos, graphics, illustrations, icons, page layouts, screen displays, user interfaces, and the overall look and feel of the Services;
  • all documentation, reports, analytics, compilations, and other works of authorship created or made available by Gone; and
  • all updates, modifications, enhancements, derivative works, and improvements to any of the foregoing.

You acknowledge that the Services and Our Content are protected by applicable intellectual property and proprietary rights laws. You agree not to remove, alter, obscure, or circumvent any copyright, trademark, patent, trade secret, proprietary notice, digital watermark, or other rights management information incorporated into or accompanying the Services or Our Content.

Except as expressly permitted by these Terms or with Gone's prior written consent, you shall not:

  • reproduce, copy, modify, adapt, translate, distribute, publish, transmit, publicly display, publicly perform, license, sublicense, lease, rent, sell, assign, create derivative works from, or otherwise exploit any portion of the Services or Our Content;
  • scrape, harvest, download, extract, copy, or index Marketplace listings, inventory information, pricing, product descriptions, photographs, or other data using automated or manual means;
  • use any portion of the Services or Our Content to develop, train, improve, benchmark, validate, or otherwise support any artificial intelligence, machine learning, computer vision, large language model, or similar technology without Gone's prior written consent;
  • reverse engineer, decompile, disassemble, decode, or otherwise attempt to derive the source code, underlying ideas, algorithms, or architecture of the Services; or
  • use Gone's intellectual property in any manner likely to cause confusion regarding the source, sponsorship, affiliation, or endorsement of any goods or services.

If you submit any Content that infringes or misappropriates the intellectual property or other proprietary rights of any third party, you are solely responsible for such Content and any resulting claims, damages, liabilities, losses, costs, and expenses. You agree to indemnify and hold Gone harmless from any claims arising from your submission of infringing or unauthorized Content.

Unauthorized use of the Services or Our Content may violate copyright, trademark, patent, trade secret, and other applicable laws and may result in civil and criminal liability, including injunctive relief and monetary damages, to the fullest extent permitted by law.

9. DMCA/Copyright Policy

We respect copyright law and expect our users to do the same. It is our policy to terminate access in appropriate circumstances to users who repeatedly infringe the rights of copyright holders.

The Digital Millennium Copyright Act of 1998 (the "DMCA") provides recourse for copyright owners who believe that material appearing on the Internet infringes their rights under U.S. copyright law. If you believe in good faith that Content infringes your copyright, you (or your agent) may send us a notice requesting that the Content be removed or access to it blocked. Federal law requires that your notification include the following information:

  • (i) a physical or electronic signature of a person authorized to act on behalf of the owner of an exclusive right that is allegedly infringed;
  • (ii) identification of the copyrighted work claimed to have been infringed or, if multiple copyrighted works at a single online site are covered by a single notification, a representative list of such works at that site;
  • (iii) identification of the material that is claimed to be infringing or to be the subject of infringing activity and that is to be removed or access to which is to be disabled and information reasonably sufficient to permit us to locate the material;

Third-Party Services may also include links to third-party websites, advertisements, embedded content, or integrations made available through the Services.

Third-Party Services are provided solely as a convenience to you. Gone does not own, control, endorse, monitor, or assume responsibility for any Third-Party Services, including their availability, accuracy, legality, content, products, services, privacy practices, security, or business practices.

Your access to and use of any Third-Party Service is solely at your own risk and subject to the applicable terms of service, privacy policies, and other agreements governing that Third-Party Service. Gone encourages you to review those terms before interacting with any Third-Party Service.

Without limiting the foregoing, Gone is not responsible or liable for:

  • the availability, operation, or functionality of any Third-Party Service;
  • any products, services, information, or content provided by a third party;
  • any transactions or communications between you and a third party;
  • the acts or omissions of any third-party provider;

11. Indemnity

To the fullest extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Gone, Inc., its parent companies, subsidiaries, affiliates, licensors, service providers, suppliers, contractors, officers, directors, managers, employees, agents, successors, and assigns (collectively, the "Gone Parties") from and against any and all claims, demands, actions, proceedings, investigations, damages, judgments, settlements, losses, liabilities, fines, penalties, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or relating to:

  1. Your Use of the Services. Your access to or use of the Services, including the Household Pickup Service, Marketplace, Local Discovery Platform, or any other Services offered by Gone.
  2. Your Breach of These Terms. Your violation of these Terms, the Privacy Policy, or any other policies or guidelines incorporated by reference.
  3. Your Content. Any Content you submit, upload, transmit, post, or otherwise make available through the Services, including any claim that such Content infringes, misappropriates, or otherwise violates the intellectual property, privacy, publicity, contractual, or other rights of any third party.
  4. The Goods. Any Goods you submit for pickup, transfer to Gone, purchase through the Marketplace, or otherwise provide in connection with the Services, including any claim relating to ownership, title, liens, condition, safety, hazardous materials, contamination, product defects, regulatory compliance, or your breach of any representation or warranty regarding the Goods.
  5. Your Conduct. Your fraud, negligence, willful misconduct, unlawful conduct, or violation of any applicable law or regulation.
  6. Third-Party Rights. Your violation of the rights of any third party, including without limitation intellectual property rights, privacy rights, publicity rights, contractual rights, or proprietary rights.
  7. Transactions. Any dispute arising from your purchase, pickup, transfer, or other transaction involving the Services, except to the extent caused by Gone's breach of these Terms.

Gone reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, and you agree to cooperate fully with Gone in the defense or settlement of any such matter. You may not settle any claim subject to this Section without Gone's prior written consent if the settlement imposes any obligation or admission on any Gone Party.

Your indemnification obligations shall not apply to the extent a claim is finally determined by a court of competent jurisdiction to have resulted directly from the gross negligence, willful misconduct, or intentional violation of law by a Gone Party.

This Section shall survive the termination or expiration of these Terms and your use of the Services.

12. Suspension and Termination

Gone may, in its sole discretion and to the fullest extent permitted by law, suspend, restrict, or terminate your access to all or any portion of the Services, including your ability to request pickups, access the Marketplace, or complete transactions, at any time and with or without notice if we believe you have violated these Terms, engaged in fraudulent, unlawful, or abusive conduct, created a risk to Gone or others, or if such action is otherwise necessary to protect the Services or comply with applicable law. Gone may also reject or cancel any pickup request, Marketplace order, or other transaction prior to completion where permitted by law. Upon termination, your right to use the Services immediately ends, but any provisions of these Terms that by their nature should survive—including ownership, licenses, payment obligations, intellectual property, indemnification, warranty disclaimers, limitations of liability, dispute resolution, and arbitration—will remain in full force and effect.

13. Warranty Disclaimers

THE SERVICES, MARKETPLACE, LOCAL DISCOVERY PLATFORM, GOODS, CONTENT, AND ALL INFORMATION, MATERIALS, AND FEATURES MADE AVAILABLE THROUGH THE SERVICES ARE PROVIDED ON AN "AS IS," "AS AVAILABLE," AND "WITH ALL FAULTS" BASIS, TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.

TO THE FULLEST EXTENT PERMITTED BY LAW, GONE DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING, WITHOUT LIMITATION, ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUIET ENJOYMENT, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, QUALITY, CONDITION, PERFORMANCE, OR THAT MAY ARISE FROM A COURSE OF DEALING, COURSE OF PERFORMANCE, OR USAGE OF TRADE.

WITHOUT LIMITING THE FOREGOING, GONE DOES NOT WARRANT THAT:

  • the Services will be uninterrupted, secure, available, timely, or error-free;
  • any defects or errors will be corrected;
  • the Services or any servers are free of viruses or other harmful components;
  • Marketplace inventory, pricing, product descriptions, photographs, availability, or other information will be accurate, complete, or current;
  • any Goods displayed through the Marketplace or Local Discovery Platform will remain available for purchase or pickup; or
  • the Services or any Content will meet your expectations or requirements.

Unless expressly stated otherwise by Gone in writing, all Goods offered through the Marketplace are previously owned, donated, refurbished, recycled, or otherwise pre-owned items and are sold "AS IS," "WHERE IS," and "WITH ALL FAULTS." Gone makes no warranty regarding the condition, quality, safety, merchantability, functionality, authenticity, compatibility, completeness, or fitness for any particular purpose of any Goods.

Some jurisdictions do not allow the exclusion or limitation of certain warranties. Accordingly, some of the above exclusions may not apply to you to the extent prohibited by applicable law.

14. Accounts

You are not required to create an account to access or use many of the Services. However, certain features or Services may require you to create an account now or in the future. By using the Services, you represent and warrant that you are at least eighteen (18) years of age, have the legal capacity to enter into these Terms, and are not prohibited from using the Services under applicable law.

You agree to provide accurate, current, and complete information when interacting with the Services and to promptly update any information that becomes inaccurate or incomplete. You may not impersonate another person or entity, misrepresent your identity or authority, or use the Services on behalf of another person without authorization. If you create an account, you are responsible for maintaining the confidentiality of your login credentials and for all activities occurring under your account. You agree to notify Gone promptly of any unauthorized access to or use of your account.

You may not use bots, automated scripts, crawlers, artificial intelligence agents, or other automated means to create accounts, submit pickup requests, place Marketplace orders, access inventory, scrape data, or otherwise interact with the Services unless expressly authorized in writing by Gone.

Gone reserves the right to suspend, restrict, or terminate your account or access to the Services if any information you provide is inaccurate, false, misleading, or incomplete, if you violate these Terms, or if Gone reasonably believes such action is necessary to protect the Services, its users, or Gone's business.

15. Feedback

We welcome feedback, comments, and suggestions for improvements to the Services. You can submit feedback by emailing us at the contact email listed above. You grant to us a non-exclusive, worldwide, perpetual, irrevocable, fully-paid, royalty-free, sublicensable, and transferable license under any and all intellectual property rights that you own or control to use, copy, modify, create derivative works based upon, and otherwise exploit the feedback for any purpose.

Your privacy is important to us. Please review our Privacy Policy for information about the data we may collect and use. Our Privacy Policy is incorporated in these Terms, and is available at Privacy Policy.

17. Assumption of Risk and Release

By requesting or using the Household Pickup Service, you acknowledge that the removal, loading, and transportation of household goods involve inherent risks, including the movement of large or heavy items, entry onto your property, and the potential for incidental damage or personal injury despite the exercise of reasonable care.

You agree to take reasonable steps to provide a safe and accessible pickup location, including securing pets, removing hazards, ensuring clear access to the Goods, and identifying any conditions that may affect the safety of Gone's personnel or the pickup process.

To the fullest extent permitted by applicable law, you voluntarily assume all ordinary risks associated with your use of the Household Pickup Service and hereby release, waive, and discharge Gone, Inc., its parent companies, affiliates, officers, directors, employees, contractors, agents, insurers, successors, and assigns (collectively, the "Gone Parties") from any claims, demands, damages, liabilities, losses, or causes of action arising out of or relating to the Household Pickup Service, including the removal, handling, loading, transportation, or disposition of Goods, except to the extent such claims are determined by a court of competent jurisdiction to result from the gross negligence, willful misconduct, or intentional violation of law by a Gone Party.

You further acknowledge that, upon Gone's acceptance of the Goods, ownership transfers to Gone pursuant to these Terms, and Gone shall have no obligation to return, preserve, store, repair, or compensate you for the Goods except as expressly provided in these Terms or required by applicable law.

Nothing in this Section limits any rights or remedies that cannot be waived under applicable law.

 

18. Changes to Terms or Services

We may modify the Terms and our Services at any time, in our sole discretion. If we do so, we will let you know by email or by posting notice on the website or via a notification in the App. It's important that you review the Terms whenever we modify them because continuing to use the Services after we have posted modified Terms on the Site indicates to us that you agree to be bound by the modified Terms. If you don't agree to be bound by the modified Terms, then please discontinue use of the Services immediately. Because our Services are evolving over time we may change or discontinue all or any part of the Services at any time, and without notice to you, at our sole discretion.

19. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE GONE PARTIES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS OPPORTUNITY, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, OR FOR ANY INTERRUPTION OF BUSINESS, SERVICE INTERRUPTION, DEVICE DAMAGE, SYSTEM FAILURE, OR THE COST OF SUBSTITUTE GOODS OR SERVICES, ARISING OUT OF OR RELATING TO THESE TERMS, THE SERVICES, THE MARKETPLACE, THE LOCAL DISCOVERY PLATFORM, ANY GOODS, OR YOUR USE OF OR INABILITY TO USE ANY OF THE FOREGOING, WHETHER BASED ON CONTRACT, WARRANTY, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, PRODUCT LIABILITY, STATUTE, OR ANY OTHER LEGAL THEORY, EVEN IF A GONE PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND EVEN IF A LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE AGGREGATE LIABILITY OF THE GONE PARTIES FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) ONE HUNDRED U.S. DOLLARS (US $100.00) OR (B) THE TOTAL AMOUNT PAID BY YOU TO GONE FOR THE SPECIFIC TRANSACTION GIVING RISE TO THE CLAIM DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Without limiting the foregoing, Gone shall not be liable for:

  • the availability, condition, quality, safety, functionality, authenticity, legality, or fitness of any used or previously owned Goods;
  • inaccurate Marketplace listings, pricing, photographs, inventory information, or availability;
  • the acts or omissions of third-party service providers;
  • delays, cancellations, or failures in scheduling or completing pickups;
  • the inability to purchase or reserve a particular item;
  • any loss or damage resulting from your failure to retrieve purchased Goods within the applicable pickup period; or
  • unauthorized access to or alteration of your communications or Content, except to the extent caused by Gone's failure to comply with applicable law.

Nothing in these Terms excludes or limits liability for fraud, fraudulent misrepresentation, gross negligence, willful misconduct, death or personal injury caused by negligence where such liability cannot be excluded, or any other liability that cannot be limited or excluded under applicable law.

20. Dispute Resolution

Gone seeks to resolve disputes fairly and efficiently. Before initiating arbitration or any legal proceeding, you and Gone agree to first attempt to resolve any dispute informally.

Informal Resolution

If you have a dispute arising out of or relating to these Terms, the Services, the Marketplace, the Household Pickup Service, the Local Discovery Platform, or any Goods or transactions through the Services, you agree to first notify Gone by sending written notice to the contact email address listed in these Terms. The notice must describe the nature of the dispute and the relief requested.

The parties agree to use good faith efforts to resolve the dispute informally for at least thirty (30) days following receipt of the notice before initiating arbitration or litigation, unless a longer period is required by applicable law.

Binding Arbitration

Except as otherwise provided below, any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Services shall be resolved exclusively by final and binding arbitration administered by the American Arbitration Association ("AAA") under its applicable Consumer Arbitration Rules then in effect. The arbitration shall be conducted by a single arbitrator.

Unless otherwise required by applicable law or agreed by the parties, the arbitration shall take place in King County, Washington, provided that either party may elect to participate remotely if permitted under the applicable AAA rules.

The arbitrator shall have exclusive authority to resolve any dispute relating to the interpretation, applicability, enforceability, or formation of this arbitration agreement, except that a court of competent jurisdiction shall determine the enforceability of the class action waiver set forth below.

Judgment upon the arbitrator's award may be entered in any court having jurisdiction.

Exceptions

Nothing in this Section prevents either party from:

  • bringing an individual action in small claims court if the claim qualifies;
  • seeking temporary, preliminary, or permanent injunctive or equitable relief to protect intellectual property, confidential information, or other proprietary rights; or
  • pursuing any remedy that cannot legally be resolved through arbitration.

Class Action Waiver

TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AND GONE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF, CLASS MEMBER, PRIVATE ATTORNEY GENERAL, OR OTHER REPRESENTATIVE IN ANY CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.

Unless both parties agree otherwise, the arbitrator may not consolidate claims or preside over any class or representative proceeding.


21. General Provisions

These Terms, together with the Privacy Policy and any other policies, guidelines, or documents expressly incorporated by reference, constitute the entire agreement between you and Gone regarding the Services and supersede all prior and contemporaneous oral or written agreements, understandings, negotiations, representations, and communications relating to the subject matter of these Terms.

If any provision of these Terms is determined by a court or arbitrator of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be enforced to the maximum extent permitted by applicable law, and the remaining provisions shall remain in full force and effect.

You may not assign, delegate, or otherwise transfer any of your rights or obligations under these Terms, whether by operation of law or otherwise, without Gone's prior written consent. Any attempted assignment in violation of this Section shall be null and void. Gone may assign or transfer these Terms, in whole or in part, without restriction, including in connection with a merger, acquisition, corporate reorganization, financing, sale of assets, or by operation of law.

Gone may provide notices to you by email, text message, push notification, posting through the Services, or any other reasonable electronic means using the contact information you have provided. You consent to receive such electronic communications, and they shall satisfy any legal requirement that notices be provided in writing. Notices to Gone must be sent to the contact information designated by Gone in these Terms or otherwise made available through the Services.

Gone's failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision. Any waiver must be in writing and signed by an authorized representative of Gone. No waiver of any breach shall constitute a waiver of any subsequent or continuing breach.

Except as expressly provided in these Terms, all rights and remedies available to Gone are cumulative and are in addition to any other rights or remedies available at law or in equity.

Gone shall not be liable for any delay or failure to perform its obligations under these Terms to the extent caused by circumstances beyond its reasonable control, including acts of God, natural disasters, fire, flood, severe weather, epidemics or pandemics, labor disputes, supply chain disruptions, utility failures, internet or telecommunications outages, cyberattacks, governmental actions, civil unrest, or other force majeure events.


22. Governing Law

These Terms, the Services, and any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be governed by and construed in accordance with the laws of the State of Washington, without regard to its conflict of laws principles. The Federal Arbitration Act shall govern the interpretation and enforcement of the arbitration provisions contained in these Terms. The United Nations Convention on Contracts for the International Sale of Goods (CISG) shall not apply to these Terms or any transaction conducted through the Services.


23. Electronic Signatures and Electronic Records

By accessing or using the Services, including requesting a pickup, submitting Content, scheduling a pickup, placing a Marketplace order, making a purchase, clicking an "Accept," "Submit," or similar button, or otherwise indicating your acceptance electronically, you consent to conduct business electronically and agree to be bound by these Terms. You acknowledge and agree that your electronic acceptance, electronic signature, and any electronic records, communications, notices, disclosures, agreements, or transactions provided or entered into through the Services have the same legal effect as if executed in writing with a handwritten signature, to the fullest extent permitted by applicable law, including the Electronic Signatures in Global and National Commerce Act (15 U.S.C. § 7001 et seq.) and any applicable state electronic transactions laws. Gone may retain electronic records of your use of the Services, and you agree that such records shall be admissible as evidence to the same extent as original paper records.


24. No Third-Party Beneficiaries

These Terms are entered into solely for the benefit of you and Gone. Except as expressly provided in these Terms, nothing contained herein is intended to confer any rights, remedies, or benefits upon any other person or entity, and no third party shall be deemed a third-party beneficiary of these Terms or have any right to enforce any provision of these Terms.
